Limit one (1) registration entry, per person, during the Contest Period. Refer others to register to enter the Irwin iPoints Challenge and receive 1 extra "Referral" I Point. Limit of one Referral iPoint entry per user, per colleague's valid e-mail address and successful registration, up to a maximum of five (5) Referral iPoints, per unique user, during the Contest Period. If duplicate registration or Referral entries are received, the entrant will be disqualified from the Contest.

Eligibility Irwin Industrial Ltd.'s "Irwin iPoints Challenge" is open to all Irwin Industrial Supply Partners, Buyers, Customers, Prospects and Suspects, who are legal residents of Canada or the US, and have reached the age of majority in the province, territory or state in which they reside on or before 12:00:00 A.M. ET (Eastern Time) July 8th, 2008, (the "Contest Opening Date"). To be eligible for ranking entrants in the Irwin iPoints Challenge Top 25 Winner's Circle, all online iPoints scoring totals, per unique user, must be successfully submitted to, and received by, the Irwin Industrial website by 11:59:59 P.M. ET (Eastern Time) July 29th, 2008, (the "Contest Closing Date"). Officers, directors, representatives and employees of Irwin Industrial Ltd., its parent, affiliates or subsidiaries, their advertising, promotional, publicity, production, direct competitors or judging agencies, and all those living in the same household as the above individuals, are not eligible to enter.

Entries generated by a script, macro or other automated means are void. Entries that contain typographical errors, are altered, tampered with, incomplete, inaccurate, irregular in any way, or otherwise not in compliance with the Official Rules and Regulations, are also void. All decisions of the contest judges are final. The laws of Ontario govern the Contest and the federal laws of Canada incorporated therein. Irwin Industrial Ltd. has the right to cancel or modify the contest rules at any time and without notice. The odds of winning depend on the number of eligible entries received, i.e., iPoints totals, per unique user, earned by the Contest Closing Date.

On or about July 29th, 2008, the Top 25 iPoints leaders at the close of the Irwin iPoints Challenge as of July 29th, 2008, will be selected to join the Final Top 25 Winner's Circle and will be eligible to receive the following prizes according to Winner's Circle rank and via random draw from all eligible registrants. How to Play - The goal of the Irwin iPoints Challenge is for entrants to earn as many iPoints, as quickly as possible, during the Contest Period, to remain in the Daily Top 25 Winner's Circle by July 29th, 2008, for a chance to Win! Entrants can earn iPoints by registering, completing 2 Stages, a Survey, selecting to receive critical eMail Alerts, and by referring colleagues to register. Each time entrants return to login to their My Irwin page they will be able to review their updated iPoints Scoring and Stage progression and mange their Irwin Profile and eMail preferences. An entrant's Daily Top 25 Winner's Circle ranking will depend on how many iPoints an entrant has earned to date, as quickly as possible, until the entrant has completed the Irwin iPoints Challenge. If an entrant has secured a high rank in the Daily Top 25 Winner's Circle by July 29th, 2008, then on July July 29th, 2008, the entrant will be selected to join the Final iPoints Challenge Top 25 Winner's Circle.

How to Earn Irwin iPoints - There are five ways to earn up to 2,005 iPoints, as quickly as possible, to secure a place in the Daily Top 25 Winner's Circle! Maximum possible iPoints = 2,005. Minimum possible iPoints = 750 Registration Bonus: 4 Quiz Questions per Stage: 100 iPoints, per Question/per Stage, for each Correct Answer. 50 iPoints, per Question/per Stage, for each Next Best Answer. 1 Bonus Question per Stage: 50 iPoints, per correctly answered Bonus question, per Stage. 0 iPoints, per incorrectly answered Bonus question, per Stage. Connect Survey: 250 iPoints for completing the Connect Survey. Alert eMails: 50 iPoints, for selecting to receive a Stage OR Contest Closing Alert eMail. 50 iPoints, for selecting to receive a Winner's Circle Alert eMail. Refer a Colleague: 0 - 5 Referral iPoints. Earn 1 additional iPoint, per colleague referred, who successfully registers to enter the Irwin iPoints Challenge. Limit of 5 Referral iPoints, per person, per email address, during the iPoints Challenge. A successful answer to a skill-testing question, provided by Contest Administrator is legally required before entrant eligible to receive the contest prize. All reward prizes are awarded as is and no warranties or guarantees are implied or expressed other than any standard manufacturer's warranty, if applicable.

Stage Progression Rules - During the Irwin iPoints Challenge, each Stage will be either "Open" (available for completion), "Locked" (not yet available for completion) or "Completed" (all questions answered). Entrants should fully complete each "open" stage as quickly as possible, according to the Stage Schedule, to maintain a high overall iPoints Daily Top 25 Winner's Circle ranking. Once an entrant has successfully completed a Stage, the entrant will not be permitted to go back to a Completed Stage and change successfully submitted answers. After answering each Stage's Quiz and Bonus questions, the Stage will switch to a "Completed" status and the entrant's iPoints Scoring Summary and Stage Progress will update on returning to My Irwin. Entrants will be able to review their total iPoints earned to date, plus the total number of iPoints still available to be earned during the Contest Period. At anytime during the Contest Period, entrants can earn additional iPoints by completing a Survey, selecting to receive eMail Alerts, and by referring colleagues to register. Each time entrants complete the Survey, select to receive eMail Alerts, or have a referred colleague register, the additional iPoints earned, and the timestamp of either a Survey, Alert or Referral submission, is recorded and an entrant's Scoring Summary and current Winner's Circle rank is updated.

Stage Schedule - The following Stage Schedule will be in effect during the Irwin iPoints Challenge: Irwin iPoints Challenge Stage Schedule Opens: July 8th, 2008, Closes: July 29th, 2008 Stage 1 is Open on: 12:00:00 AM ET on July 8th, 2008 Stage 2 is Open on: 12:00:00 AM ET on July 15nd, 2008 The Challenge closes at: 11:59:59 PM ET on July 29th, 2008 Stage Schedule: Open or Locked Status Schedule Stage 1 is Open on: 12:00:00 AM ET on July 8th, 2008 Stage 2 is Locked until: 11:59:59 PM ET on July 15th, 2008 Stage 2 is Open on: 12:00:00 AM ET on July 15th, 2008 At 11:59:59 PM ET, July 29th, 2008, the 2 Irwin iPoints Challenge Stages, whether open, completed or locked, will be locked automatically and all entrants' iPoints Scoring totals and Winner's Circle rankings frozen. Open, Locked or Completed Stages - Open Stages: Stage is available for completion A Stage remains "Open" to a unique user throughout the duration of the Contest Period until it is fully completed (4 quiz and 1 bonus question(s) submitted) or has become "Open" (un-locked) in accordance with the Stage Schedule. Completed Stages: Stage has been completed A Stage is "Completed" once a user has fully completed all required Stage questions and the user cannot re-access the completed stage to alter or correct iPoints totals. Until each preceding "Open" stage is fully "Completed" in sequential order (1 before 2), and according to the Stage Schedule, a user cannot proceed to progress through to the next Stage. Locked Stages: Stage is not yet available for completion A stage is "Locked" to a user until it becomes "Open" according to the Stage Schedule. All Stages for all registered users become "Locked" at Contest Period close-out: 11:59:59 PM ET, July 29th 2008, regardless of the Stage Progress a user has achieved at the time of campaign close-out.

Irwin iPoints Challenge Winner's Circle - The Irwin iPoints Challenge Winner's Circle is a dynamic, real-time leader board table that ranks a minimum of 0 to a maximum of 25 current overall iPoints leaders, by unique User ID, per row, for entrants who have gained the highest number of iPoints to date, at the earliest possible time, according to a timestamp matched to each entrant's Scoring Profile (successfully submitted Stage answers, survey completes, opt-in selections and iPoints Referral entries earned to date, per Stage), during the Contest Period. The Winner's Circle table rows will update according to the current number of contest participants. Once the table has populated to return 25 rows, only the current Top 25 unique User ID's and iPoints totals, per User ID, earned to date will be viewable during the Contest Period. Winner's Circle High Rank Logic - First place and next high iPoints leaders: User(s) who has registered the earliest and has gained (via successfully submitted answers to the database) the current highest overall iPoints, the fastest (according to the timestamp of the following iPoints scoring types) to date during the Contest Period: Timestamp of users' unique Registration submission to date; Timestamp of users' latest successfully completed Stage to date; Timestamp of users' latest successfully submitted Survey to date; Timestamp of users' latest successfully submitted Alert eMail selections to date; Timestamp of users' latest successfully submitted Referred colleague's Registration to date.

Drawing and Awarding of the Prizes - Irwin Industrial Ltd., and an independent judging organization, will review and award the Prizes to the Top 25 overall iPoints Winner's Circle leaders at the close of the Irwin iPoints Challenge. These prize winners will be selected from the Irwin iPoints Challenge Final Top 25 Winner's Circle on or about July 29th, 2008 (the "Contest Prize Draw Date"), at the location of 50 East Beaver Creek Road, Richmond Hill, Ontario, at or around 11:00 a.m. ET from all entries received on or before the Contest Closing Date. Secondary prizes will be awarded directly to qualified contest entrants by Irwin Industrial Ltd. on a per entrant basis during and after the contest period, subject to the conditions of Notification and Redemption set out in these Rules. The judging will be conducted by an independent judging organization whose decisions on all aspects of this contest shall be deemed as final and binding in all respects. By entering, participants agree to be bound by the contest rules and regulations and the decisions of the independent judging organization. This contest is subject to all applicable federal, provincial and municipal laws. In order to claim the prize and be declared a winner the selected entrant will be required to correctly answer, without assistance of any kind, the mathematical skill-testing question to be administered by email or telephone at a pre-arranged mutually convenient time. Complete and sign a declaration and release statement, in order to; confirm compliance with the rules and regulations, accept the prize as awarded, without substitution, release the Sponsor and its affiliated companies from any liability, as described more fully below, and consent to the use of his or her name, address (city and province) company name, photograph, and likeness, as described more fully below. Failure by any selected entrant to complete, sign and return any of the aforementioned documents within 14 business days after notification is sent to the address or email address on the selected entrant's entry, or the return of prize documents as undeliverable, may result in forfeiture of the prize and selection of an alternate winner in the sole discretion of the Sponsor. If a selected entrant cannot be contacted in a timely fashion, or if for any other reason the prize cannot be awarded, another contest entry will be randomly selected by draw until the prize has been awarded. Failure for the selected entrant to correctly answer the skill-testing question will result in disqualification, the forfeiture of his or her interest in the prize, and the random selection of a substitute winner from among all remaining eligible entries. Communication will be entered into only with selected entrants.

Notification and Redemption - All selected Winner's Circle, Secondary, and Week 4 Daily Prize winners will be notified of their selection via email and telephone. To receive a prize, selected winners must provide proof of identity within five (5) days of prize notification. Failure of selected winner to respond to prize notification or return of prize notification as undeliverable will result in forfeiture of right to receive any prize, and prize will be awarded to an alternate selected winner. Sponsor and Irwin-ind.com are not responsible, whether as a result of human error or otherwise, for any failure to contact any selected winner. Entrants are solely responsible for the completeness and accuracy of all information submitted, including email addresses provided.

>Conditions of Entry - By entering, entrants (i) acknowledge compliance with these Official Rules including all eligibility requirements, (ii) agree to be bound by the decisions of Irwin-ind.com as Judges of the Contest, which are final and binding in all respects, (iii) agree that no claim relating to such damages, losses or injuries shall be asserted against Sponsor, Irwin-ind.com, or their agents, affiliates, subsidiaries, divisions, and advertising and promotion agencies, and (iv) agree that Irwin may contact them for the purpose of market research. All entries become the property of Sponsor. This Contest is subject to Canadian, Provincial and local laws and regulations. Sponsor, Irwin-ind.com, or their agents, affiliates, subsidiaries, divisions, and advertising and promotion agencies (i) make no warranty, guarantee or representation of any kind concerning any prize, (ii) disclaim any implied warranty; and (iii) are not in any way responsible or liable for damage, loss or injury resulting from altered, late, lost, damaged, misdirected, mutilated, inaudible, garbled, illegible or incomplete entries, or human, telephone, computer, online, or technical malfunctions or failures (including network unavailability and disconnections), or acceptance and use of a prize or travel in connection with such prize. Proof of transmission and/or mailing does not constitute proof of delivery. Winner assumes liability for injuries caused or claimed to be caused by participating in the promotion, or by the acceptance, possession or use of any prize.

Limitation of Liability - The winners agree that (except where prohibited) Sponsor may use winner's name, picture, portrait, likeness and voice for advertising and promotional purposes without further compensation. Sponsor, its promotional and advertising agencies, and all respective officers, directors, employees, representatives and agents shall have no liability and shall be held harmless by winners for any damage, loss or liability to person or property, due in whole or part, directly or indirectly, by reason of the acceptance, possession, use or misuse or prize or participation in this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorney's fees. Sponsor reserves the right, in its sole discretion to cancel or suspend part or all of this Contest should virus, bugs, non-authorized human intervention or other causes beyond the control of sponsor corrupt or impair the administration security, fairness or proper play of the Contest. In such event, Contest may award prizes in a random drawing from all eligible entries received up to the date of cancellation or suspension. Irwin Industrial Ltd. and its promotion and advertising agencies are not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmission, whether caused by the sponsor, users or by any of the equipment or programming associated with or utilized in the promotion of by any technical or human error which may occur in the processing of submissions which may damage a user's system or limit a participant's ability to participate in the promotion. Sponsor may prohibit an entrant from participating in the Contest or winning a prize, if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Irwin Industrial Ltd. representatives. Offer void where prohibited and subject to federal, provincial and local laws. Sponsors are not liable for any lost or stolen entries or inability to process entries or any errors, damage, or negligence that may arise in connection with this contest. Privacy - Irwin Industrial will be collecting personal data about you for the administration of the Contest and for purposes of market research. We will only use this information in accordance with our published Privacy Policies, which may be viewed at www.irwin-ind.com/privacy.

Miscellaneous - Irwin Industrial (the "Sponsor") does not make any representations or warranties including without limitation, implied warranties of merchantable quality and fitness of any awarded product or prize. Sponsor reserves the right to verify the eligibility of any selected winner. SPONSOR RESERVES THE RIGHT TO CANCEL OR MODIFY THE CONTEST IF FRAUD, TECHNICAL FAILURES INCLUDING ANY NETWORK, SERVER OR HARDWARE FAILURE OR ANY OTHER FACTOR BEYOND SPONSOR'S REASONABLE CONTROL IMPAIRS THE INTEGRITY OF THE CONTEST AS DETERMINED BY SPONSOR IN ITS SOLE DISCRETION. Q: I am new to the Irwin iPoints Challenge: Where do I start?

A: To enter the Irwin iPoints Challenge, you must first register. The Registration page will ask you to enter a User ID and Password and valid contact information. You will only need to register once on Irwin iPoints Challenge. You must enter and verify a case-sensitive Password of your choice, and will be asked to provide valid contact information and a valid e-mail address.

Q: What are the system requirements needed to use Irwin iPoints Challenge?

A: For best results, Irwin iPoints Challenge recommends you use either MS Internet Explorer 6.x or greater or Firefox 2.x or greater. If you are running on a Windows platform, we recommend it be a Pentium 4 or greater with Windows 95/98, 2000, XP or Windows NT 4.x and Service Pack 7, 256 MB memory (RAM), VGA 256 color, 640 x 480 display, 56.6 KBPS Internet access and a Mouse or compatible pointing device.

Q: Can I register under more than one account?

A: No. Only one registration entry per person is allowed during the Irwin iPoints Challenge. Registering under more than one account per participant will disqualify you from the Irwin iPoints Challenge. If at any time you forget your User ID or Password when trying to Login, please don't create a new account in an attempt to remedy the situation. Instead, scroll down to the Login Rescue box and enter and submit the e-mail address you registered with. Irwin will send you your current User ID and Password right away.

Q: What is a User ID?

A: A User ID is a unique nickname, or alias. Please choose your User ID carefully. When you first register, you will be asked to create a User ID but you will also be able to use your eMail address as your User ID when logging in. Your User ID will only be viewable to other user in the Daily Top 25 Winner's Circle table during the contest if your current iPoints total ranks you within the current Daily Top 25 iPoints leaders. Your eMail address or Password will not be publicly visible to other users at anytime on the Irwin website. You will need your User ID / eMail address and Password each time you login to the Irwin iPoints Challenge. Simply click on either the Login or My Irwin icon and enter your login information. If you are having problem during Login, make sure that you are not inputting any blank spaces before, after or inside your User ID, or Password, and that you are entering your Password use the same case as when you first registered. You should write down your Irwin iPoints Challenge User ID and Password for future reference. You may not disclose or share your Password with any third parties or use your Password for any unauthorized purpose. You remain solely responsible for any authorized or unauthorized use of your Password.

Q: What should I use as a User ID?

A: A: You can use your name, a nickname, or the name of a hobby or interest of yours. We recommend choosing a User ID that is easy for you to remember. If you enter and submit a User ID during registration that has already been registered, the system will prompt you to re-enter a different one. Your User ID may consist of: The Letters A -Z and/or any numbers from 0-9. You cannot use special characters such as " * ", " @ " or " , " .. Remember that only Passwords are case sensitive. Your User ID may NOT consist of: Any blank spaces before, after or inside your User ID or Password or any profane, obscene, or hateful terminology.

Q: Can Irwin iPoints Challenge change my User ID?

A:Yes. The administrators of the Irwin iPoints Challenge reserve the right to alter, change, modify, or terminate, or restrict site access to any User ID at any time, without notice or warning, or for any other reason at our sole discretion.

Q: What if I forget my Irwin Login information?

A: If at any time you forget you're my Irwin User ID or Password when trying to Login, please don't create a new account in an attempt to remedy the situation. Instead, scroll down to the Login Rescue box and enter and submit the e-mail address you registered with. Irwin will send you your current User ID and Password right away.

Q: How does Irwin use Cookies?

A: Irwin's Login and Remember Me features work by using "cookies". A cookie is a piece of data that a website can send to your browser which is then stored on your hard drive. We use cookies in accordance with our Privacy Policy. The goal is to save you time and ensure optimal website functionality. If you can't login, or be "remembered", using what you know to be your correct information, please ensure that your browser's cookies are enabled.

Q: I know my Login information is correct but I still can't login: why?

A: Due to the specialized requirements of your Irwin iPoints Challenge, your browser's cookies must be enabled each time you login to Irwin. If you can’t login using what you know to be your correct Irwin User ID / eMail Address and Password, you will need to reset your browser so that it accepts 'cookies'. Once your browser’s cookies are enabled, return to the Login page and you'll be ready to go!

Q: What is an Open, Completed or Locked Stage?

A: Each Stage can exist in one of 3 states during the Irwin iPoints Challenge. You should fully complete each “open” stage as quickly as possible, according to the Stage Schedule, to maintain a high overall iPoints Daily Top 25 Winner’s Circle ranking

1. Open Stages: Stage is available for completion

A Stage remains "Open" to a unique user throughout the duration of the Contest Period until it is fully completed (4 quiz and 1 bonus question(s) submitted) or has become "Open" (un-locked) in accordance with the Stage Schedule.

2. Completed Stages: Stage has been completed

A Stage is "Completed" once a user has fully completed all required Stage questions and the user cannot re-access the completed stage to alter or correct iPoints totals. Until each preceding "Open" stage is fully "Completed" in sequential order (1 before 2), and according to the Stage Schedule, a user cannot proceed to progress through to the next Stage.

3. Locked Stages: Stage is not yet available for completion

A stage is "Locked" to a user until it becomes "Open" according to the Stage Schedule. All Stages for all registered users become "Locked" at Contest Period close-out: 11:59:59 PM ET, July 29th, 2008, regardless of the Stage Progress a user has achieved at the time of campaign close-out.

Q: What is the "Daily Top 25 Winner’s Circle"?

A: The Irwin iPoints Challenge Daily Top 25 Winner's Circle is a dynamic, real-time leader board table that ranks a minimum of 0 to a maximum of 25 current overall iPoints leaders, by unique User ID, per row, for entrants who have gained the highest number of iPoints to date, at the earliest possible time, according to a timestamp matched to each entrant's Scoring Profile (successfully submitted Stage answers, survey completes, opt-in selections and iPoints Referral entries earned to date, per Stage), during the Contest Period.

The Winner's Circle table rows will update according to the current number of iPoints Challenge participants. Once the table has populated to return 25 rows, only the current Top 25 unique User ID's and iPoints totals, per User ID, earned to date will be viewable at anytime during the iPoints Challenge.

Q: I completed a Stage, or Survey, but my iPoints haven’t changed yet?

A: You should Refresh or Reload your browser often to get your latest Scoring and Winner's Circle info. Each time you return your My Irwin page to continue your IPoints Challenge, you should refresh your browser to make sure you're seeing your latest iPoints Scoring, Stage and Winner's Circle status..

Q: I referred a colleague who said they registered but I didn't get my "Referral iPoint". Why not?

A: If your colleague registered with an invalid e-mail address that "bounced back" to our servers, then you will not get a Referral iPoint. Only Referral registrations submitted with valid personal, login and contact information during the Irwin iPoints Challenge will be applied to your current iPoints total to date. You can earn up to a maximum of 5 Referral iPoints (1 iPoint for each colleague referred who successfully registers) during the Irwin iPoints Challenge.
